These Terms of Service ("Terms") govern your access to and use of the AICyberNav platform, website, and services (collectively, the "Service") operated by AICyberNav, a KCENAV property ("we," "us," or "our"). Please read these Terms carefully before using the Service.

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not use the Service.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the effective date. Your continued use of the Service after such changes constitutes your acceptance of the modified Terms.

AICyberNav provides an AI-powered cybersecurity assessment platform that offers:

• AI-driven security risk assessments
• Security posture analysis and threat modeling
• Security architecture blueprints and recommendations
• Vendor security evaluations
• Incident response plan generation
• Cyber insurance readiness analysis and referrals

3. User Accounts

3.1 Account Creation

To access certain features of the Service, you may need to create an account. We use magic link authentication, which sends a one-time login link to your email address. You do not need to create or manage a password.

3.2 Account Responsibilities

You are responsible for:

• Maintaining the security of the email account used for authentication.
• All activities that occur under your account.
• Providing accurate and current information about yourself and your organization.
• Notifying us immediately if you suspect unauthorized access to your account.

3.3 Account Restrictions

You may not:

• Create multiple accounts to circumvent usage limits or service restrictions.
• Share your account access with unauthorized individuals.
• Use another person's account without their express permission.

4. Free and Paid Services

4.1 Free Services

We offer certain services at no charge, including the AI Security Risk Assessment. Free services are provided "as is" and we reserve the right to modify, limit, or discontinue free services at any time without notice.

4.2 Paid Services

Paid services (including the AI Security Assessment Report, Security Architecture Blueprint, Vendor Security Evaluation, and Incident Response Plan Builder) require a one-time payment at the prices listed on the Service. All prices are in US dollars unless otherwise stated.

• Payments are processed by Stripe and are subject to Stripe's Terms of Service.
• All sales are final. Because our reports are generated immediately upon purchase, we generally do not offer refunds. If you believe a report was not delivered or contains a material defect, contact us within 14 days of purchase.
• We reserve the right to change pricing at any time. Price changes will not affect previously completed purchases.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its design, features, functionality, code, AI models (as integrated), documentation, and all content created by us, is owned by AICyberNav and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.

6.2 Your Content

You retain ownership of the information and data you provide to the Service ("Your Content"). By providing Your Content, you grant us a limited, non-exclusive license to process Your Content solely for the purpose of providing the Service to you. This license terminates when you delete your account or when we delete your data in accordance with our Privacy Policy.

6.3 Generated Reports

Reports and assessments generated by the Service based on Your Content are licensed to you for your internal business use. You may share generated reports with your team, advisors, and insurance providers. You may not resell, redistribute, or commercially exploit generated reports.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
• WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED.
• WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY AI-GENERATED CONTENT.
• IN NO EVENT SHALL AICYBERNAV, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
• OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

8. Indemnification

You agree to indemnify, defend, and hold harmless AICyberNav, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of any rights of a third party.
• Any actions taken based on AI-generated content from the Service.
• Any content or information you provide through the Service.

9. Termination

9.1 Termination by You

You may stop using the Service and request account deletion at any time by contacting us at support@aicybernav.ai.

9.2 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Grounds for termination include, but are not limited to:

• Violation of these Terms or the Acceptable Use Policy.
• Fraudulent, abusive, or illegal activity.
• Non-payment for paid services.
• Extended period of inactivity (12 months or more).

9.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will retain your data in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination (including Limitation of Liability, Indemnification, and Governing Law) will survive.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.

Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

11. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy, Cookie & Tracking Notice, AI Use Policy, Acceptable Use Policy, and Disclaimer, constitute the entire agreement between you and AICyberNav.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
• Waiver: Our failure to enforce any provision of these Terms shall not be construed as a waiver of that provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
